These general terms of sale (CGV, conditions générales de vente) govern paid commercial relationships between Myrmid and its business customers. They apply to design-partner cohort engagements at MVP-0 and to platform subscriptions when those ship.
Scope
These terms apply only to commercial transactions between Myrmid and a business customer (B2B). Design-partner cohort 1 engagements are bilaterally scoped at signing; the present terms cover the framework. Platform subscriptions ship with the platform's general availability and will reference an updated CGV at that time.
This site is not a sales surface. No subscription can be purchased through this site at MVP-0; engagements are pre-contractual and conducted by direct correspondence.
Pricing for cohort 1
Pricing for design-partner cohort 1 is bespoke and reflects the partnership shape. Final terms are agreed bilaterally before the engagement starts; no price list is published for cohort 1. Subsequent cohorts and the general-availability platform will publish reference pricing when they ship.
Payment terms
Where invoices apply, payment terms default to 30 days net from issue, in EUR, by SEPA bank transfer. Any late-payment penalty applied in line with French commercial law (Art. L. 441-10 of the Code de commerce). A fixed indemnity of €40 is added per Art. L. 441-10 II for late payment; additional collection costs are recoverable on justification.
Cancellation
Engagements may be terminated by either party with 30 days' written notice unless the bilateral agreement provides otherwise. Termination for cause is governed by the bilateral agreement.
Liability
Myrmid's liability is capped at the amount paid by the customer over the 12 months preceding the event giving rise to the claim. The cap does not apply to gross negligence, wilful misconduct, or any liability that cannot be excluded under French law.
Governing law
These terms are governed by French law. The competent courts are those of Paris, except where French consumer-protection law mandates otherwise (it does not for B2B contracts).
Updates
These terms are updated as the company's commercial offer evolves. The "last updated" date at the top reflects the most recent change. Customers are notified of material changes that affect existing engagements.
